Acceptance of Terms
By creating an account, accessing our API, or using any Neo Reader services ("Services"), you agree to comply with and be legally bound by these Terms of Service ("Terms"), whether or not you become a registered user. These Terms constitute a legally binding agreement between you and Neomanex Ltd, operating as Neo Reader ("Neo Reader", "we", "us", or "our").
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" and "your" refer to such entity.

If you do not agree to these Terms, you may not access or use the Services. Continued use of the Services constitutes acceptance of any updated Terms.
Service Description
Neo Reader provides a web scraping and HTML-to-Markdown conversion API ("API") that enables developers to programmatically convert web pages into clean, machine-readable markdown format. Our Services include:
- URL to Markdown Conversion: Convert any publicly accessible webpage into LLM-ready markdown format
- JavaScript Rendering: Automatic detection and rendering of single-page applications (SPAs) built with React, Vue, Next.js, Nuxt, Angular, Svelte, and other frameworks
- Screenshot Capture: Generate viewport or full-page screenshots of web pages
- Content Targeting: Use CSS selectors to extract specific content or remove unwanted elements
- Batch Processing: Process multiple URLs efficiently for high-volume operations
The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.
Account Registration
Account Creation
To use the Neo Reader API, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your API keys and credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use or security breach
Account Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By creating an account, you represent and warrant that you meet these requirements.
Account Security
You are solely responsible for maintaining the confidentiality of your API keys, passwords, and account credentials. You must:
- Use strong, unique passwords
- Enable two-factor authentication when available
- Never share your API keys publicly or embed them in client-side code
- Rotate API keys immediately if you suspect unauthorized access
- Store credentials securely using environment variables or secret management systems
API Usage & Restrictions
Permitted Use
You may use the Neo Reader API for lawful purposes including but not limited to:
- Building RAG (Retrieval-Augmented Generation) pipelines for AI applications
- Content aggregation and research tools
- Data analysis and business intelligence
- Educational and academic research
- Internal business automation and workflows
Prohibited Activities
You agree NOT to use the Services to:
- Violate Laws: Engage in any illegal activities or violate any applicable laws or regulations
- Infringe Rights: Violate intellectual property rights, privacy rights, or terms of service of third-party websites
- Cause Harm: Scrape websites that explicitly prohibit automated access via robots.txt or terms of service
- Abuse Resources: Overwhelm target websites with excessive requests or cause denial-of-service conditions
- Circumvent Security: Bypass authentication, rate limiting, or other security measures
- Scrape Personal Data: Collect personally identifiable information (PII) without proper authorization and compliance with data protection laws (GDPR, CCPA, etc.)
- Resell Service: Resell, sublicense, or redistribute API access without explicit written permission
- Reverse Engineer: Attempt to reverse engineer, decompile, or discover the source code of the Service
- Interfere: Interfere with or disrupt the Service, servers, or networks
- Malicious Content: Use the Service to distribute malware, phishing content, or spam
Compliance Requirement
You are solely responsible for ensuring your use of the API complies with all applicable laws, regulations, and third-party terms of service. Neo Reader is not liable for your use of scraped data.
Rate Limits & Fair Use
Your API usage is subject to rate limits based on your subscription plan:
- Free Plan: 500 requests/month
- Developer Plan: 10,000 requests/month
- Pro Plan: 100,000 requests/month
- Scale Plan: 500,000 requests/month
Exceeding your plan limits may result in request throttling or temporary suspension. We reserve the right to implement additional rate limiting to maintain service quality for all users.
Billing & Payment Terms
Subscription Plans
Neo Reader offers multiple subscription tiers with transparent, fixed pricing. No credit multipliers, hidden fees, or surprise charges. What you see is what you pay.
Billing Cycle
- All paid plans are billed monthly in advance
- Billing occurs on the same day each month as your initial subscription date
- Request quotas reset at the beginning of each billing cycle
- Unused requests do not roll over to the next billing period
Payment Processing
Payments are processed securely through Stripe. By providing payment information, you:
- Authorize us to charge your payment method for all fees incurred
- Agree to keep your payment information current and accurate
- Acknowledge that Stripe's terms and privacy policy apply to payment processing
Refund Policy
All sales are final. We do not provide refunds for partial months or unused API requests. However, we may issue refunds at our sole discretion in cases of:
- Service outages exceeding our 99.9% uptime SLA (on paid plans)
- Billing errors or duplicate charges
- Service termination by Neo Reader
Plan Changes
- Upgrades: Take effect immediately. You are charged a prorated amount for the remainder of the billing cycle
- Downgrades: Take effect at the start of the next billing cycle
- Cancellations: You retain access until the end of your current billing period
Price Changes
We reserve the right to change our pricing at any time. Price increases will be communicated at least 30 days in advance and will not affect your current billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Taxes
All fees are exclusive of applicable taxes (including VAT, GST, sales tax). You are responsible for paying all taxes associated with your use of the Services.
Intellectual Property
Neo Reader Intellectual Property
The Neo Reader API, website, documentation, logos, and all related materials are the exclusive property of Neo Reader and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.
Open Source License
The Neo Reader API core is released under the Apache 2.0 license for self-hosting. However, our hosted service, infrastructure, documentation, and branding remain proprietary. See our GitHub repository for specific open source licensing terms.
Your Content
You retain all ownership rights to the content you process through our API. Neo Reader does not claim ownership of:
- URLs you submit for processing
- Markdown output generated from your requests
- Screenshots or data extracted through the API
However, you grant Neo Reader a limited, non-exclusive license to process your requests and deliver results back to you.
Third-Party Content
You are solely responsible for ensuring you have the legal right to scrape and use content from third-party websites. Neo Reader is not responsible for any intellectual property infringement resulting from your use of the Service.
Data & Privacy
Data Processing
Neo Reader processes web content on your behalf to deliver markdown conversion services. We are committed to protecting your privacy and handling data responsibly.
Data Retention
- Request Logs: We retain API request logs (URLs, timestamps, response codes) for up to 90 days for debugging and analytics
- Processed Content: We do not permanently store scraped HTML or generated markdown. Content is processed in-memory and discarded after delivery
- Screenshots: Screenshot files are stored temporarily (24-48 hours) and automatically deleted
- Account Data: We retain account information (email, billing history) for the duration of your account and as required by law
Data Security
We implement industry-standard security measures including:
- TLS/SSL encryption for all API communications
- Encrypted storage of sensitive data at rest
- Regular security audits and penetration testing
- Access controls and authentication mechanisms
- Monitoring and logging of security events
Privacy Policy

Service Availability
We strive to maintain 99.9% uptime for paid plans. However, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEO READER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of content processed through the API
- Warranties that defects will be corrected or that the Service is free from viruses or harmful components
Third-Party Services
The Service may integrate with or rely on third-party services (Stripe for payments, cloud infrastructure providers, etc.). We are not responsible for the availability, performance, or actions of these third parties.
No Legal or Compliance Advice
Neo Reader does not provide legal advice regarding web scraping legality, copyright compliance, or data protection regulations. You are responsible for consulting with legal counsel to ensure your use complies with applicable laws.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEO READER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
- Indirect, Incidental, Special, Consequential, or Punitive Damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses
- Service Interruptions resulting from maintenance, updates, third-party failures, or circumstances beyond our control
- Data Loss or Corruption from your use of the Service
- Unauthorized Access to your account or data resulting from your failure to maintain security
- Actions of Third Parties, including websites you scrape or users of your applications
- Legal Consequences arising from your use of scraped data or violation of third-party terms
Liability Cap
Neo Reader's total cumulative liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of:
- The amount you paid to Neo Reader in the 12 months preceding the claim, or
- $100 USD
Essential Purpose
The limitations in this section apply even if any limited remedy fails its essential purpose. Some jurisdictions do not allow certain liability limitations, so these may not apply to you.
Termination
Termination by You
You may terminate your account at any time by:
- Canceling your subscription through the dashboard
- Contacting support at support@neoreader.dev
Upon cancellation, you will retain access until the end of your current billing period. No refunds will be issued for partial months.
Termination by Neo Reader
We reserve the right to suspend or terminate your account immediately, without notice, if:
- You violate these Terms of Service
- Your account is used for fraudulent or illegal activities
- Your payment method fails or billing information is incomplete
- You engage in abusive behavior toward our staff or other users
- You exceed usage limits or abuse the Service in a way that impacts other users
- We are required to do so by law or legal process
Effect of Termination
Upon termination or expiration of your account:
- Your API keys will be immediately revoked
- You will lose access to all Services and features
- We may delete your account data in accordance with our retention policies
- Any outstanding fees become immediately due and payable
- Sections of these Terms that by their nature should survive (payment obligations, warranties, indemnification, limitations of liability) will continue to apply
Changes to Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via email at the address associated with your account
- Display a prominent notice in the dashboard or on our website
- Provide at least 30 days' notice for material changes that negatively impact your rights
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

Governing Law
Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Neomanex Ltd is a company registered in Ireland.
Dispute Resolution
Any disputes arising from these Terms or your use of the Services shall be resolved through:
- Informal Negotiation: We encourage you to contact us first to resolve disputes informally
- Mediation: If informal resolution fails, disputes may be submitted to mediation in Dublin, Ireland
- Irish Courts: Any unresolved disputes shall be subject to the exclusive jurisdiction of the Irish courts
Venue
To the extent permitted by law, any legal proceedings must be brought exclusively in the courts of Dublin, Ireland. You consent to personal jurisdiction in these courts.
Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

Additional Provisions
Severability

Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, telecommunications failures, or government actions.
Export Compliance
You agree to comply with all applicable export and import control laws and regulations, including EU and Irish regulations. You may not use the Service if you are a resident of, or located in, any country subject to EU, Irish, or international sanctions.
Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Neo Reader a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.
